Please read the following terms carefully so that you can ensure that you understand the basis upon which MDR Speeches is willing to trade. In particular please note the limitation of liability clause set out below.
The following general terms will apply to all matters handled by MDR Speeches, unless otherwise agreed in writing:
Wherever possible, a fixed fee will be agreed in advance. For more complex matters, fees are assessed on the basis of an agreed hourly rate. If instructions are terminated for any reason, a charge will be made for all work carried out prior to termination. MDR Speeches is not registered for VAT and consequently no VAT is charged on fees.
Except in the most routine cases, it may be difficult to estimate how many hours of work will be required to complete a matter, bearing in mind the variety of circumstances that may arise. However, guidance as to likely costs will be given, where possible, on request. Any estimates given will be based on the information available at the time and, although given in good faith, will not be binding. Variations in the instructions given, including requests for additional work or unexpected developments may increase costs.
We reserve the right to ask for money to be paid on account in advance of work to be done.
Fees are always due for settlement prior to completion of work and prior to release of a final draft. Invoices must be settled within 28 days of the date of the invoice. Any queries concerning an invoice should be raised immediately upon receipt.
Where a fixed fee has been agreed, this will include copy amendments as and when necessary and full copy approval. Whilst we endeavour to make sure that every client is completely happy with their finished speech, if we feel that this offer is being abused, we reserve the right to refuse to provide further re-writes and will notify you of our decision. Only a very small number of clients exploit our service, however this in turn would affect the service we are able to provide to all our clients. Our Fair Use Policy means that we can offer full copy approval to all our clients.
Any material produced for any client is and shall remain the sole and exclusive property of Mark Riddlesdin. Subject to receiving payment in full, you will be granted a non-transferable, non-exclusive, licence to use the work solely for the specific event which you have instructed us on. Any further use of the material is subject to the written permission of Mark Riddlesdin and requires a formal written licence. Material must not be reproduced without the specific prior written permission of Mark Riddlesdin.
We attach great importance to dealing with your instructions in strict confidence. MDR Speeches only processes data in accordance with the applicable Data Protection legislation and the specific instructions of each client. If you wish us to contact you only by a particular medium, please notify us with your first instructions.
Save as otherwise specifically agreed, we accept no liability for the rights of third parties resulting from any service provided.
We will not be liable for any loss or damage arising as a result of matters beyond our control, including but not limited to acts of God, war, explosion, riot, strike, lock out, trade dispute or labour disturbance, accident, breakdown of machinery, fire, flood, storm, or unavoidable hardware or software failures.
NO LIABILITY FOR LOSS (INCLUDING, BUT NOT LIMITED TO, DAMAGES, COSTS AND INTEREST) TO YOU OR OTHER PARTIES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE WILL BE ACCEPTED BY MDR SPEECHES IN RELATION TO ANY MATTER IN THE ABSENCE OF SPECIFIC WRITTEN AGREEMENT TO THE CONTRARY REFERRING TO THIS TERM AND SIGNED BY MARK RIDDLESDIN IN EXCESS OF THE FEE PAID BY THE CLIENT.
NO LIABILITY WHATSOEVER WILL BE ACCEPTED ON THE PART OF MDR SPEECHES IN RELATION TO ANY LOSS, DAMAGE OR LIABILITY WHATSOEVER CAUSED DIRECTLY OR INDIRECTLY TO ANY PARTY OTHER THAN THE PERSON/ORGANISATION FOR WHOM MDR SPEECHES HAS AGREED TO ACT IN CONNECTION WITH THE RELEVANT MATTER.
IN ANY EVENT, NO LIABILITY WHATSOEVER WILL BE ACCEPTED ON THE PART OF MDR SPEECHES WHERE SUCH LIABILITY EITHER ARISES FROM ANY INSTRUCTIONS OR INFORMATION GIVEN BY A CLIENT OR BY ANY THIRD PARTY BEING INCOMPLETE, INACCURATE OR INCORRECT; OR WHERE SUCH LIABILITY IS FOR ANY INDIRECT, ECONOMIC OR CONSEQUENTIAL LOSS OR DAMAGE, COSTS, EXPENSES OR OTHER CLAIMS FOR CONSEQUENTIAL COMPENSATION WHATSOEVER OR HOWSOEVER CAUSED WHICH ARISE OUT OF OR IN CONNECTION WITH THE SERVICES PROVIDED BY US OR FOR LOSS OF PROFIT, LOSS OF BUSINESS, LOSS OF DATA, DEPLETION OF GOODWILL OR LOSS OCCURRING IN THE NORMAL COURSE OF BUSINESS OR OTHERWISE.
These terms and conditions (as amended from time to time) contain the entire agreement between you and MDR Speeches relating to any services provided and supersede any previous agreements, arrangements, undertakings or proposals, written or oral, between you and us in relation to such matters. No oral explanation or oral information given by either of us shall alter the interpretation of these terms and conditions. You confirm that, in agreeing to accept these terms and conditions, you have not relied on any representation save insofar as the same has expressly been made a representation in these terms and conditions and you agree that you shall have no remedy in respect of any misrepresentation which has not become a term of these terms and conditions save that your agreement contained in this Clause shall not apply in respect of any fraudulent misrepresentation whether or not such has become a term of these terms and conditions.
These terms shall in all respects be governed by English Law. MDR Speeches and you irrevocably submit to the non-exclusive jurisdiction of the English Courts.
If any provision of these terms is held by any court or other competent authority to be void or unenforceable in whole or part, these terms shall continue to be valid as to the other provisions thereof and the remainder of the affected provision.
